Agreement to These Terms

These Terms of Use govern access to and use of ekubox.com and purchases from ekuBOX. The website and ekuBOX brand are operated by EKU LLC, a Michigan limited liability company. In these Terms, 'ekuBOX,' 'we,' 'us' and 'our' refer to EKU LLC. By using the website or placing an order, you agree to these Terms and the policies incorporated by reference.

Eligibility and Acceptable Use

You may use the website only for lawful purposes. You may not interfere with website security or operation, use automated methods to extract content without authorization, submit false information, impersonate another person, infringe intellectual-property rights or use the website in a way that violates applicable law.

Product Information and Availability

We make reasonable efforts to display accurate descriptions, images, prices and availability. Colors and appearance may vary by device. Typographical errors, inventory discrepancies or other inaccuracies may occur. We may correct errors and cancel or adjust an affected order before fulfillment, with notice and an appropriate refund when payment has been collected.

Orders and Acceptance

An order confirmation acknowledges receipt of an order but does not guarantee acceptance. We may decline or cancel an order for legitimate reasons, including suspected fraud, pricing or inventory errors, unsupported destinations, quantity limitations or inability to fulfill the order. If we cancel after payment, we will issue an appropriate refund.

Prices, Taxes and Payment

Prices are shown in U.S. dollars unless otherwise stated. Applicable taxes, shipping and other disclosed charges are added at checkout. You authorize the selected payment provider to charge the total displayed before order submission.

Shipping, Returns and Promotions

Shipping is governed by our Shipping Policy. Returns, refunds, damage reports and fulfillment errors are governed by our Returns, Refunds & Exchanges Policy. Promotional offers are subject to the offer-specific terms and our Promotion Terms.

Gift Boxes and Substitutions

Gift-box components may change because of availability, seasonality or shipping conditions. Substitutes will generally be similar in function and of equal or greater retail value. Warm-weather substitutions may apply to chocolate and other heat-sensitive products from May through October. Food, Allergen and Product Information

Product ingredients, allergen statements, warnings and instructions supplied by manufacturers should be reviewed before use or consumption. Gift boxes may contain or be assembled near common allergens. Contact us before ordering if an allergy or other product restriction is material, but we cannot guarantee an allergen-free environment unless expressly stated in writing.

Gift Messages and Recipient Information

The purchaser is responsible for the accuracy and lawfulness of recipient names, addresses, gift messages and other submitted information. We may decline to print or transmit unlawful, threatening, discriminatory, infringing or otherwise inappropriate content.

Intellectual Property

The website and its original text, graphics, photographs, designs, logos, compilation and other content are owned by or licensed to EKU LLC and are protected by applicable intellectual-property laws. No license is granted except the limited right to use the website for personal or authorized business purchasing.

Reviews, Submissions and Client Marks

If you submit a review, photograph or other content, you grant EKU LLC a nonexclusive, worldwide, royalty-free license to use, reproduce and display that content for website operation and marketing, subject to applicable law and our Privacy Policy. You represent that you have the necessary rights to submit it. We will not publicly use a corporate customer's name, logo or confidential custom-gift materials without appropriate permission.

Third-Party Services and Links

The website may link to or integrate with third-party services, including payment, delivery, review, analytics, social-media and package-protection providers. Their services are governed by their own terms and privacy practices. A link does not necessarily constitute endorsement.

Disclaimers

To the fullest extent permitted by law, the website is provided on an 'as available' basis. We do not promise uninterrupted or error-free operation. Nothing in these Terms excludes warranties, remedies or other rights that cannot lawfully be excluded.

Limitation of Liability

To the fullest extent permitted by law, EKU LLC will not be liable for indirect, incidental, special or consequential damages arising from website use. This limitation does not apply to liability that cannot lawfully be limited, or to losses caused by EKU LLC's fraud, willful misconduct or other conduct for which limitation is prohibited.

 Indemnification

To the extent permitted by law, you agree to be responsible for losses arising from your unlawful use of the website, violation of these Terms or infringement of another person's rights. This provision does not require a consumer to indemnify EKU LLC for EKU LLC's own wrongful conduct.

Governing Law

These Terms are governed by Michigan law, without regard to conflict-of-law rules, except to the extent federal law or another jurisdiction's mandatory consumer law applies. Nothing in these Terms prevents either party from using a court or process available under applicable law.

Changes to These Terms

We may update these Terms prospectively. The revised version will be posted with an updated date. Material changes apply from the stated effective date and do not retroactively alter completed purchases unless required by law.
